Terms of Sale

Effective Date: January 1, 2026

These Terms of Sale (“Terms”) govern the sale of products and services by CM Fabrication (“Company,” “we,” “us,” or “our”) through https://cm-metals.com or through direct communication, quotations, and invoices. By placing an order or purchasing from us, you agree to these Terms.

1. Quotes and Orders

All quotes provided by CM Fabrication are valid for a limited time as stated on the quote or, if no time is stated, for 30 days from the date issued. Quotes are subject to change based on material costs, availability, scope changes, or other factors.

Orders are not binding until accepted in writing by CM Fabrication. Any changes to an order must be approved by CM Fabrication and may result in price or schedule adjustments.

2. Pricing

All prices are listed in U.S. dollars unless otherwise stated and do not include applicable taxes, shipping, handling, or other fees unless explicitly noted. The customer is responsible for all applicable sales, use, or other taxes imposed by any governmental authority.

3. Payment Terms

Payment terms are specified on the invoice or quote. Unless otherwise agreed in writing:

  • Payment is due according to the terms listed on the invoice
  • Late payments may be subject to interest or late fees as permitted by law
  • CM Fabrication reserves the right to suspend work or delivery for overdue accounts

Customer agrees to pay all reasonable costs incurred in the collection of unpaid balances, including attorney fees where permitted by law.

4. Custom and Fabricated Products

Many CM Fabrication products are custom-made or fabricated to customer specifications. Once production has begun, orders for custom products cannot be canceled or returned.

Customer is responsible for the accuracy of all specifications, drawings, measurements, and approvals provided. CM Fabrication is not responsible for errors resulting from incorrect or incomplete customer-provided information.

5. Lead Times and Delivery

Any stated lead times or delivery dates are estimates only and are not guaranteed. CM Fabrication is not liable for delays caused by factors beyond our control, including but not limited to material shortages, supplier delays, labor issues, transportation disruptions, or acts of God.

Shipping terms, including method and responsibility for freight costs, will be specified in the quote or invoice.

6. Inspection and Acceptance

Customer must inspect all products promptly upon receipt. Any claims for shortages, defects, or nonconformance must be submitted in writing within five (5) business days of delivery. Failure to notify CM Fabrication within this timeframe constitutes acceptance of the products.

7. Limited Warranty

CM Fabrication warrants that products will substantially conform to the agreed specifications at the time of delivery. This warranty does not cover:

  • Normal wear and tear
  • Improper installation, use, or maintenance
  • Modifications or alterations made by the customer or third parties

This limited warranty is exclusive and in lieu of all other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, CM Fabrication shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits or business interruption, arising from the sale or use of products or services.

CM Fabrication’s total liability for any claim shall not exceed the amount paid by the customer for the specific product or service giving rise to the claim.

9. Intellectual Property

All drawings, designs, specifications, and documentation provided by CM Fabrication remain our intellectual property unless otherwise agreed in writing. Customer may not reproduce, distribute, or use such materials for purposes beyond the agreed transaction without prior written consent.

10. Force Majeure

CM Fabrication shall not be liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, acts of government, labor disputes, supply chain disruptions, or other unforeseen circumstances.

11. Governing Law

These Terms of Sale are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.

12. Changes to These Terms

CM Fabrication reserves the right to update or modify these Terms of Sale at any time. Updated Terms will be posted on this page with a revised effective date. Continued business with CM Fabrication constitutes acceptance of the updated Terms.
